These Terms and Conditions ("Terms") govern your use of the Nexaflex platform and services provided at nexaflex.com. By accessing or using our website, mobile application, APIs, or related services (collectively, the "Platform"), you agree to comply with and be bound by these Terms. 1. Definitions

You must be at least 18 years old or the legal age of majority in your jurisdiction to use Nexaflex. By using the platform, you represent that you meet these requirements and have the legal capacity to enter into these Terms.

3. Use of Services

Nexaflex provides services that allow users to:

• Purchase event tickets using cryptocurrency balances.
• Pay bills and utility services with supported cryptocurrencies.
• Create and use virtual cards for online transactions, funded with crypto assets.

By using these services, you agree:

• To use the platform only for lawful purposes.
• Not to attempt to interfere with the operation or security of Nexaflex.
• To provide accurate information when creating accounts or making transactions.
• That you are responsible for maintaining the security of your login credentials.

4. Wallets and Transactions

• Users may be required to connect external crypto wallets or use Nexaflex custodial/non-custodial wallet options.
• All transactions conducted via the Platform are final and non-reversible once confirmed.
• Fees may apply to certain transactions and will be disclosed before processing.
• Nexaflex does not store users' private keys and is not responsible for lost or inaccessible cryptocurrency funds.

5. Intellectual Property Rights

Unless stated otherwise:

• Nexaflex and/or its licensors own all intellectual property rights to the platform's material.
• You are granted a limited license to access and use Nexaflex for your personal, non-commercial use only.

You must not:

• Republish, sell, rent, or sub-license platform content.
• Reproduce, duplicate, or copy material for commercial purposes.
• Redistribute any content without express permission.

6. User-Generated Content

Parts of the platform may allow users to post content such as reviews, feedback, or comments. You agree that:

• You own the rights to your content or have permission to post it.
• Your content does not violate the rights of third parties, including copyright, trademark, privacy, or publicity rights.
• Your content is not defamatory, abusive, obscene, unlawful, or otherwise inappropriate.

• Nexaflex is not responsible for any loss of funds, opportunities, data, or profits arising out of your use or inability to use the platform.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of United States of America and Nigeria respectively.

Any disputes shall be subject to the exclusive jurisdiction of the courts of USA.

14. Termination

We reserve the right to suspend or terminate your access to Nexaflex immediately, without prior notice or liability, for any breach of these Terms.
